Term of Use

1. About Wave Crest.
Wave Crest Holdings Limited, a corporation organized under the laws of Gibraltar with registration number 101302. We are authorized and regulated by the Financial Services Commission of Gibraltar (FSC) as an issuer of electronic money. Our FSC Register number is FSC0056BNK. These Terms of Use are in relation to your Uquid Account
 
 
2. Scope of these Terms of Use.
These Terms of Use govern the opening, use and closure of your Uquid Account. Together with our Privacy Policy they constitute the legal relationship between you and us. For the use of additional services you may have to accept additional Terms and Conditions as advised when you are ordering or using such services. You are advised to print or download and keep a copy of these Terms of Use for future reference. You can always view the latest Terms of Use on our Website.
 
 
3. Your Uquid Account.
3.1. Your Uquid Account is an electronic money account which enables you to send and receive electronic payments. 

3.2 The electronic money on your Account is issued in accordance with the European Electronic Money Directive (Directive 2000/46/EC of 18th December 2000) and the relevant national legislation of Gibraltar

3.3. Your Uquid Account is denominated in a currency of your choice (Euro, USD, GBP) 

3.4. The electronic money held on your Uquid Account does not expire but it will not earn any interest.

3.5. You have the right to withdraw funds from your Uquid Account at any time. There is no minimum withdrawal amount but the funds on your Account must be sufficient to cover any applicable withdrawal fee. You can choose the method of withdrawal when submitting your withdrawal request. 

3.6. Electronic money accounts are not bank accounts. By accepting these Terms of Use you acknowledge that in the unlikely event that Wave Crest becomes insolvent, you may lose the electronic money held in your Account. However, Wave Crest strictly adheres to the legal requirements under the Electronic Money Directive and Gibraltar national legislation which are designed to ensure the safety and liquidity of funds deposited in electronic money accounts. 

3.7. The electronic money on a Uquid Account belongs to the person or legal entity which is registered as the Account holder. No person other than the Account holder has any rights in relation to the funds held in a Uquid Account, except in cases of succession. You may not assign or transfer your Uquid Account to a third party or otherwise grant any third party a legal or equitable interest over it. 

3.8. Your Uquid Account may be subject to load, payment and withdrawal limits, depending on your country of residence and the verification status of your Uquid Account.
 
 
Opening Your Account
4.1. In order to use Wave Crest's payment services you must first open a Uquid Account by registering your details on our Website. As part of the signup process you will need to accept these Terms of Use and our Privacy Policy. If you order additional services, you may be asked to accept additional terms and conditions. You should print out and keep a copy of these Terms of Use for future reference. 

4.2. You must be 18 years or older and by opening a Uquid Account you declare that you are 18 years or older. We may require at any time that you provide evidence of your age.
4.3. You may only open one Uquid Account. 

4.4. You may only open a Uquid Account if it is legal to do so in your country of residence. By opening an Account you represent and warrant to us that your opening of an Account does not violate any laws or regulations applicable to you. You shall indemnify us against any losses we incur in connection with your breach of this section.
 
4.5. All information you provide during the signup process or any time thereafter must be accurate and truthful. 

4.6. You may only add payment instruments (such as bank accounts, credit cards, debit cards or prepaid cards) to your Uquid Account if you are the named holder of that payment instrument.

4.7. During signup you will be asked whether you intend to use your Uquid Account for private or commercial purposes. If you have any intention to use your Account for commercial purposes, you must tell us, even if you use it also for private purposes. If you have stated that you will use your Account for private purposes only, you must tell us if at any point in the future you use it for commercial purposes by contacting Customer Service. You are using your Account for commercial purposes if you are receiving payments for or in connection with any business activity. We reserve the right to determine whether, in our reasonable opinion, you are using your Account for commercial purposes. If you are in any doubt about whether or not an activity amounts to a commercial activity, you should contact Customer Service. 

4.8. Within 14 days of the date of opening your Uquid Account, you may close your Account at no cost by contacting Customer Service, however, if you have loaded funds into your Uquid Account you may be required to provide identification documents before being able to withdraw funds. Transactions and fees for transactions undertaken before you close your Account (including those transactions that are not revocable and have been initiated but not completed before Account closure) will not be refunded.
 
 
5. Maintaining Your Account
5.1. You must ensure that the information recorded on your Uquid Account is always accurate and up to date and we shall not be liable for any loss arising out of your failure to do so. We may ask you at any time to confirm the accuracy of your information or to provide documents or other evidence. 

5.2. We may contact you by e-mail or in various other ways as described in section 18 with information or notices regarding your Uquid Account. It is your responsibility to regularly check the proper functioning of your e-mail account or other methods of communication that you have registered with your Account and to retrieve and read messages relating to your Account promptly. We shall not be liable for any loss arising out of your failure to do so. 

5.3. Fund loads, payments received, payments sent and fund withdrawals are displayed in your online transactions history together with the fees charged. You should check your Account balance and transaction history regularly. You should report any irregularities or clarify any questions you have as soon as possible by contacting Customer Service.
 
 
6. Keeping Your Uquid Account Safe
6.1. You must keep your Account password safe at all times and never disclose it to anyone. Our personnel will never ask you to provide your password to us or to a third party. Any message you receive or website you visit that asks for your password, other than the Uquid Website or a Uquid payment gateway on a merchant website, should be reported to us. If you are in doubt whether a website is genuine, you should contact Customer Service. You should change your password regularly and you should never 
(i) write down or otherwise store your password anywhere; 
(ii) allow anyone to access your Account or watch you accessing your Account; or 
(iii) choose a password that is easily guessed from information someone might know or gather about you. 

6.2. If you have any indication or suspicion of your login details, password or other security feature being lost, stolen, misappropriated, used without authorization or otherwise compromised, you should change your password and you must contact Customer Service immediately. Any undue delay in notifying us may not only affect the security of your Account but may result in you being liable for any losses as a result. If you suspect that your Account was accessed by someone else you should also contact the police and report the incident.

6.3. We may at any time suspend or otherwise restrict the functionality of your Account if we suspect that it has been accessed without your authorization or we suspect that it has been otherwise compromised. 

6.4. You must also take all reasonable care to ensure that your e-mail accounts are secure and only accessed by you, as your e-mail address may be used to reset passwords or to communicate with you about the security of your Account. In case any of the e-mail addresses registered with your Uquid Accounts are compromised, you should immediately contact Customer Services and also contact your e-mail service provider. 

6.5. If you are using a public or shared computer to access your Uquid Account, you must ensure that your login details are not stored by the browser or cached or otherwise recorded. If you are using your own computer, you must ensure that only you have access to it. You should never use any functionality that allows login details or passwords to be stored by the computer you are using. 

6.6. Additional products or services you use may have additional security requirements and you must familiarize yourself with those as notified to you.
 
 
7. Closing Your Account
7.1. You may close your Uquid Account at any time by contacting Customer Service. 

7.2. If your Account holds a balance at time of account closure, we will ask you to withdraw your funds within a reasonable period, during which your Account will be accessible for the purpose of withdrawing the remaining balance only. Your obligations with regards to keeping your Account safe as set forth in section 6 shall continue to apply. If you do not withdraw funds within the set time period, we may (but will not be obliged to) send you a cheque to the address registered in your Uquid Account profile and charge you the fee applicable to cheque withdrawals (including applicable foreign exchange fees). It is your responsibility to keep your address data up to date and we shall not be liable for any loss arising from your failure to do so. 

7.3. Closing your Account does not extinguish the personal data we hold on you and we will continue to store such data, including transaction history, for a minimum period of five years as required by law.
 
 
8. Loading Funds
8.1. You can load funds by visiting the Website, logging into your Account and following the relevant load instructions. You may be presented with a number of different load methods, depending on which payment instruments you have added to your Uquid Account and which payment methods are available in your country of residence. 

8.2. You may be asked to answer security questions or to complete other activities that we may reasonably require to ensure proper authorization of a load transaction. 

8.3. If you choose an load method using a payment instrument that may be subject to chargeback rights such as (but not limited to) credit or debit card or direct debit, you declare that you will not exercise such chargeback right other than for non-authorized use of the payment instrument or for a breach by Wave Crest of these Terms of Use which would result in you having a right to a refund of the loaded amount. You may not charge back any load transaction or allow a chargeback of any load transaction for reasons for which Wave Crest is not responsible including (but not limited to) disputes with merchants for non-delivery of goods or services or insufficient balance on the payment instrument account. We reserve the right to charge you fees and expenses we incur in connection with such chargeback and any action undertaken to challenge the same. We may also charge you a chargeback fee of 20.00 EUR. 

8.4. If a chargeback or reversal of a load transaction results in a negative Account balance, you will be required to repay such negative balance by loading sufficient funds into your Account. Failure to do so is a breach of these Terms of Use. Repayment of the negative balance is due immediately without notice, however, we reserve the right, at any time, to take debt collection measures including but not limited to mandating a debt collection agency or solicitors or to pursue the claim in court. We reserve the right to charge you the expenses we reasonably incur in connection with any debt collection or enforcement efforts.

8.5. Loaded funds will be credited to your Uquid Account on the same day as the funds have been received by Wave Crest. Some load transactions, such as those by bitcoin, cashu, credit or debit card, direct debit or direct banking will be credited to your Account immediately, but are subject to reversal in case the actual funds do not reach Wave Crest within a reasonable time in which case Wave Crest will deduct such reversed transaction from the balance of your Uquid Account. If the Account balance is insufficient, we reserve the right to require repayment from you. 

8.6. For the purposes of a load transaction through a payment instrument, Wave Crest is a payment recipient and not a payment service provider.

8.7. You must not make a load through a payment instrument if you are not the named holder of that payment instrument. Without prejudice to claiming further damages, if we are required to return funds loaded from a payment instrument that is not in your name, we may charge an administration fee of 20.00 EUR. 

8.8. Loads may be subject to load limits due to security and legal requirements. These limits are set dynamically depending on your verification status and the load method you want to use. You should be aware that depending on your verification status your load limits may be higher than your withdrawal or spending limits. You can view these limits at any time in the relevant section of your Account profile. 

8.9. Loads are subject to load fees and currency conversion depending on which load method and payment instrument is chosen. Please see section 13 for details.
 
 
9. Sending Payments
9.1. To send a payment you are required to authorize the payment with your login and password. We may also ask you additional security questions related to you or your Account. If your Account is protected by additional security measures such as the use password tokens, you need to follow the instructions provided to you with such additional security measures. 

9.2. Every recipient of a payment you wish to send through Uquid must have a valid Account ID ( Start with UQ letter). 

9.3. If you are asked to provide the recipient's Account ID, you must take great care to properly type the exact Account ID to which you wish to send money. Uquid uses the Account ID as the unique identifier to determine the intended recipient of the payment which you instruct us to process. Other information you provide along with the recipient's Account ID may be disregarded and we shall not be liable for any error you make when entering the recipient's Account ID. 

9.4. If the Account ID of the intended recipient is registered with Uquid, the funds will be instantly credited to the Uquid Account associated with that Account ID. Once funds are credited to the recipient's Account, the transaction becomes irreversible. 

9.5. You will not be able to cancel transactions that have already been credited to the recipient. 

9.6. Payments are subject to payment limits due to security and legal requirements. These limits are set dynamically depending on your verification status. You can view these limits at any time in your Account Profile. You should ensure that your limits are sufficient to cover the payment you intend to make as well as any applicable fees including service fees and currency conversion fees. You should be aware that the recipient of a payment may also be subject to spending and withdrawal limits and that this may affect the recipient's access to the funds you intend to send. 

9.7. Sending payments is subject to fees and currency conversion charges depending on the type of payment you make and the type of Account you hold. Please see section 13 for details.
 
 
10. Receiving Funds
10.1. If you receive funds into your Uquid Account, we will send you a notification e-mail and display the payment as a Receive Money Transaction in your transactions history. You should regularly reconcile incoming payments with your own records

10.2. Receipt of payments to your Account does not necessarily mean that these transactions cannot be reversed. Wave Crest reserves the right to reverse a payment in case the payer has charged back or otherwise reversed a load or other payment which was used to fund the payment to you. 

10.3. If a person received a payment notification from Wave Crest indicating that someone has sent them funds to an e-mail address that is not registered, they will not be credited with the payment until it has been claimed in accordance with the instructions laid out in the notification e-mail. Until then, there will be no contractual or fiduciary relationship between Wave Crest and the intended recipient. The funds remain those of the sender. 

10.4. The receipt of payments is subject to fees and currency conversion, depending on the type of payment you receive and the type of Account you have. Please see section 13 for details.
 
 
11. Prohibited Transactions
11.1. It is strictly forbidden to use your Uquid Account for any illegal purposes including but not limited to fraud and money laundering. Wave Crest will report any suspicious activity to the relevant law enforcement agency.

11.2. It is strictly forbidden for citizens or residents of certain countries to make payments to or to receive payments from persons or entities offering gambling services, including (but not limited to) sports betting, casino games and poker games. 

11.3. You may only accept payments for certain categories of business after the approval by Wave Crest in its sole discretion.

11.4. Uquid reserves the right at its sole discretion to add prohibited items, prohibited countries. and business categories requiring approval by Wave Crest.

11.5. If you conduct or attempt to conduct any transaction in violation of the prohibitions contained in this section 11 or without the necessary approval under section 11.4, we reserve the right to: (i) reverse the transaction; (ii) close or suspend your Account; (iii) report the transaction to the relevant law enforcement agency; (iv) claim damages from you; and/or (v) charge you an administration fee of up to 20.00 EUR in case we apply any of the above.

11.6. It is your and not Uquid's responsibility to ensure that you only send payments to or receive payments from persons or entities for the sale or supply of goods and services that you may provide or receive in compliance with any applicable laws and regulations. The mere fact that a person or entity accepts payments through the Uquid Service is not an indication of the legality of the supply or provision of their goods and services. If you are in doubt as to the legality of a supply or purchase, you should not continue with your payment.
 
 
12. Withdrawing Funds
12.1. You can request a withdrawal of all or part of the funds held in your Uquid Account at any time. To do this you must log into your Account and select a withdrawal method and enter the amount to be withdrawn.

12.2. Your Account is subject to withdrawal limits. These limits are adjusted dynamically depending on your verification status. You can view your withdrawal limits at any time in your Account profile. Before loading any funds into your Account, you must ensure that your current withdrawal and spending limits meet your withdrawal and spending requirements as we legally cannot allow you to exceed these limits.

12.3. If your withdrawal request exceeds the current limit, we may decline your request and instead require you to send us documents verifying your identity and address prior to allowing a withdrawal of funds or to otherwise cooperate with us to verify your identity.

12.4. Withdrawals are subject to withdrawal fees and currency conversion depending on which withdrawal method and payment instrument is chosen. Please see section 13 for details. 12.5. For the purposes of a withdrawal transaction, Uquid is a payer and not a payment service provider.

12.6. You must not make a withdrawal to a bank account or other payment instrument if you are not the named holder. Without prejudice to claiming further damages, if we are required to investigate an load from a payment instrument that is not in your name, we may charge an administration fee of 20.00 EUR.

12.7.You must ensure that the payment details you enter when withdrawing funds are correct and complete. Uquid will not be liable for withdrawn funds being sent to the wrong payment instrument where this is due to you providing incorrect payment details. When withdrawing to a bank account, you must ensure that the account number, sort code, IBAN and/or BIC/SWIFT are correct. If you have withdrawn funds to the wrong payment instrument, you may request that we assist you in reclaiming the funds, however, we will charge you an administration fee of 20.00 EUR for doing so and we cannot guarantee that the reclaim efforts will be successful.
 
 
13.Fees
13.1. Fees depend on whether you are using your Account for personal or commercial purposes.

13.2. Fees can be viewed at any time in the Fee section on our Website. You should print or download and keep a copy of the Fee section together with a copy of these Terms of Use. Fees are subject to change in accordance with section 16 and your verification status.

13.3. Your transactions may be subject to currency conversions. If you make a payment from your Uquid Account denominated in one currency to a Uquid Account denominated in another currency, you will be asked to either make the payment in the currency of your own Account or in any other currency. If you chose the currency of your own Account, then the recipient will pay the fee for the conversion into the currency of his or her Account. If you chose the currency of the recipient's Account, you will pay the fee for the currency conversion into the currency of the payment. If you choose a currency that is neither the currency of your own Account nor the currency of the recipient's Account then you will pay the fee for the conversion into the currency of the payment, and the recipient will pay the fee for the conversion of the payment currency into the currency of his or her Account. 13.4. For every currency conversion, Uquid will apply the conversion rate as displayed on our Website. In addition we will apply a foreign exchange fee, which is also displayed in the Fees section of the Website and which is expressed as a percentage applicable in addition to the transaction fee.

13.5. Our Fees are either expressed as a percentage of the transaction or as a fixed amount in the currency of your account. If fees are deducted from a balance or a transaction denominated in a different currency, the fee amount will be converted into an equivalent fee in that other currency based on the conversion rate applicable at the time and then deducted. We will not apply a foreign exchange fee on currency conversions of fees.

13.6. Fees payable by you will be deducted from your Uquid Account balance. Transaction fees will be charged when the transaction is executed. If your Account balance is insufficient to cover the fees we may refuse to execute the payment. Reversal or chargeback fees will be deducted when incurred.

13.7. If the deduction of fees results in a negative Account balance, you will be required to repay such negative balance by loading sufficient funds into your Uquid Account. Failure to do so is a breach of these Terms of Use. Repayment of the negative balance is due immediately without notice, however, we reserve the right at any time to send you reminders that you need to load funds or to take other debt collection measures including but not limited to mandating a debt collection agency or solicitors or to pursue the claim in court. We reserve the right to charge you expenses we have reasonably incurred in connection with any debt collection or enforcement efforts.
 
 
14. Your Data
14.1. You agree that we may use personal information about you in order to conduct appropriate fraud checks. Personal information that you provide may be disclosed to a credit reference agency, which may keep a record of that information. The processing of your data is governed by our Privacy Policy which also can be found on our website. By accepting these Terms of Use, you also agree to the terms of our Privacy Policy. You should print and keep a copy of the Privacy Policy together with these Terms of Use.

14.2. Uquid collects, stores and processes your data in accordance with the Gibraltar Data Protection Act 2004. No data is stored by us outside the European Economic Area (EEA), however, in order to provide you with certain cross border services we may have to share your data with entities outside the EEA. By making payments to or by accepting payments from persons or entities outside the EEA, you consent to our sharing of your data with entities outside the EEA as far as this is reasonably necessary for the proper execution of payments or provision of our services.

14.3. If you detect any error in the data we hold on you, you should correct the data in your Account profile or, where this is not possible, by contacting Customer Service.

14.4. As a default, you will receive e-mail newsletters that will inform you about new product features, events, promotions, special deals etc. By accepting these Terms of Use, you agree to receive such e-mail newsletters on a regular basis. If you do not wish to receive any newsletters from us, you can opt out at any time by logging into your Account and change the appropriate setting in your Account profile. You can also opt out of receiving newsletters by contacting Customer Service. Any e-mail newsletter you receive will also give you the option to unsubscribe from any future newsletter.

14.5. After termination of your UQuid Account for any reason, we will continue to hold your personal Account data for a period of five years or such other period as prescribed by applicable law.
 
 
15. Liability
15.1. In case of an unauthorized payment or a payment that was incorrectly executed due to an error by UQuid, UQuid shall at your request immediately refund the payment amount including all fees deducted there from. This shall not apply:

15.1.1. where the unauthorized payment arises from your failure to keep the personalized security features of your Account safe in accordance with section 6 in which case you shall remain liable for the first 50.00 EUR (or equivalent in the currency of your Account);

15.1.2. if you fail to promptly notify to us any loss of your password or other event that could reasonably be expected to have compromised the security of your Account after you have gained knowledge of such event and you shall remain liable for losses incurred up to your notification to us;
15.1.3. in case the transaction was unauthorized but you have compromised the security of your UQuid Account with intent or gross negligence in which case you shall be solely liable; or

15.1.4. you fail to dispute and bring the unauthorized or incorrectly executed transaction to UQuid's attention within 6 months from the date of the transaction.

15.2. Section 15.1.1 shall not apply to transactions made after you have notified us in accordance with section 6.2 in which case UQuid shall remain liable and refund any unauthorized transaction immediately to you.

15.3. Without prejudice to the foregoing, you are asked to check the transactions history of your UQuid Account regularly and frequently and to contact Customer Service immediately in case you have any questions or concerns.

15.4. In case of any incorrect or misdirected payment, We shall take reasonable measures to assist you with tracing and recovering such payments.

15.5. Subject to the foregoing, We shall not be liable for any disruption or impairment of its service or for disruptions or impairments of intermediary services on which Uquid relies for the performance of its obligations hereunder, provided that such disruption or impairment is due to abnormal and unforeseeable circumstances beyond its reasonable control or the control of the intermediary affected.

15.6. We shall not be liable for any indirect or consequential damages including but not limited to loss of profit, loss of business and loss of reputation.
15.7. Nothing in these Terms of Use shall operate to exclude liability for death or personal injury due to negligence or for fraud or fraudulent misrepresentation or for any statutory liability that cannot be excluded or amended by agreement between the parties.

15.8.UQuid's obligation under these Terms of Use is limited to providing you with an electronic money account and related payment services and does not make any statement in relation to or endorsement of the quality, safety or legality of any goods or services provided by a Uquid customer.

15.9. We shall not be liable for the assessment or payment of any taxes, duties or other charges that arise from the underlying commercial transaction between you and another UQuid customer.
 
 
16. Termination and Suspension
16.1. We may terminate your Uquid Account or any payment service associated with it by giving you one month prior notice. You may terminate your Account with us at any time. 

16.2. Together with a termination notice or at any time thereafter we may give you reasonable instructions on how to withdraw remaining funds.

16.3. If your Account is subject to a reserve, termination of your Account will not affect our right to hold the reserve and to make deductions there from for the time agreed.

16.4. We may at any time suspend or terminate your Uquid Account without notice in case;

16.4.1. you breach any condition of these Terms of Use or any other condition applicable to specific services covered by separate terms and conditions;

16.4.2. you violate or we have reason to believe that you are in violation of any law or regulation that is applicable to your use of Uquid services; or 

16.4.3. If we have reason to believe that you are in any way involved in any fraudulent activity, money laundering, terrorism financing or other criminal activity.

16.5. We may suspend your Account at any time if:

16.5.1. we reasonably believe that your Account has been compromised or for other security reasons; or

16.5.2. we reasonably suspect your Account to have been used or is being used without your authorization or fraudulently; and we shall notify you either prior to the suspension or, if prior notification is not possible under the circumstances, promptly after the suspension unless we are prohibited by law to notify you.
 
 
17. Changes to These Terms of Use
17.1. These Terms of Use and any additional terms and conditions that may apply to additional services are subject to change. Changes will be implemented with prior notice from Uquid under the procedure set forth in this section.

17.2. Uquid shall give notice to you of any proposed change by sending an e-mail to the primary any of the e-mail address registered with your Uquid Account.

17.3. The proposed change shall come into effect one month after the date of the change notice, unless you have given us notice that you object to the proposed changes before the changes come into effect. Changes that make these Terms of Use more favorable to you shall come into effect immediately if so stated in the change notice. Changes to exchange rates shall come into effect immediately without notice and you shall not have the right to object to such a change.

17.4. If you object to the changes they will not apply to you, however, any such notice of objection shall constitute a notice to terminate and close your Account.
 
 
18. How We Communicate
18.1. We usually communicate to you via e-mail. For this purpose you must at all times maintain at least one valid e-mail address in your Account profile. You are required to check for incoming messages regularly and frequently. E-mails may contain links to further communication on our Website.

18.2. Where legislation requires us to provide information to you on a durable medium, we will either send you an e-mail (with or without attachment) or send you a notification pointing you to information on our Website in a way that enables you to retain the information in print format or other format that can be retained by you permanently for future reference. You are required to keep copies of all communications we send or make available to you.

18.3. You can request a copy of the current Terms of Use or any other contractual document relevant to you by contacting Customer Service.

18.4. In order to view emails you need a computer with e-mail software that can display e-mails in HTML format. We may also send you attachments in Adobe Systems Inc.'s Portable Document Format (PDF), for which you need Adobe's Acrobat Reader, which can be downloaded for free atwww.adobe.com. 

18.5. We will never send you any e-mails with executable files attached or with links to any executable files. If you receive any e-mail with such attachments, you should delete the message without clicking on the attachment. If you are unsure whether a communication is originating from us, please contact Customer Services.

18.6. We will communicate to you in English and will always accept communications made to us in English. You can choose your preferred language from the list of supported languages in your Account profile and we will send you automated e-mail notifications and communications regarding changes to these Terms of Use in your chosen language. For non-standard communication, we reserve the right to communicate with you in English. Documents or communications in any other languages are for convenience only and shall not constitute an obligation on us to conduct any further communication in that language.

18.7. Apart from communicating via e-mail, we may contact you via letter or telephone, where appropriate. If you use any mobile services, we may communicate with you via SMS.

19. Complaints
19.1. Any complaints about UQuid or the services we provide should be addressed to us in the first instance by contacting Customer Service. You should clearly indicate that you are wishing to make a complaint to us. This helps us to distinguish a complaint from a mere query. We shall acknowledge receipt of complaints within 5 business days. You may request to be provided with a copy of our complaints procedure at any time.

19.2. We endeavor to provide you with an answer or resolution to your complaint within the timeframes as outlined by the Financial Ombudsman Service. Should this not be possible due to unforeseen circumstances or lack of information, we will contact you. 

19.3. If your complaint is not resolved to your satisfaction, you may contact the Financial Services Commission at http://www.fsc.gi/consumer/aboutfirm.htm
 
 
20. Miscellaneous
20.1. No person other than you shall have any rights under these Terms of Use and the provisions of the Contracts (Rights of Third Parties) Act 1999 are expressly excluded.

20.2. Your Uquid Account is personal to you and you may not assign any rights under the Terms of Use to any third party.

20.3. Your Uquid Account is operated in Gibraltar and these Terms of Use shall be governed by and interpreted in accordance with the laws of Gibraltar. Any dispute under these Terms of Use or otherwise in connection with your Uquid Account shall be brought exclusively in the courts of Gibraltar.

20.4. If any part of these Terms of Use is found by a court of competent jurisdiction to be invalid, unlawful or unenforceable then such part shall be severed from the remainder of the Terms of Use, which shall continue to be valid and enforceable to the fullest extent permitted by law.
 
 
21. Definitions
Various terms in these Terms of Use have a defined meaning as follows:

"Customer Services" means Uquid customer service, which you can reach by sending a message through the "Contact Us", "Email Support" facility on the Website or by emailing to support@uquid.com.

"FSC" means the Financial Services Commission of Gibraltar whose address is PO Box 940 Suite 3, Ground Floor Atlantic Suites Europort Avenue Gibraltar; further information on the FSC can be obtained on the FSC's website at www.fsc.gi;

"Wave Crest" shall mean Wave Crest Holdings Limited whose registered office is at Suite 2-1C 57/63 Line Wall Road Business Centre, 23 Ocean Village Promenade, Ocean Village, Gibraltar;
 
"Uquid Account" or "Account" shall mean the electronic money account you open and maintain on the www.uquid.com Website;

"Uquid Website" or "Website" shall mean the website available at www.uquid.com;

"We", "us", "our" shall mean Uquid;
 
"You", "your" shall mean you, the natural person or legal entity in whose name the Uquid Account is opened and maintained.

Notes: All card charges/fees will be charged in the currency of the customer's Uquid Account. All card charges/fees will be charged in the currency of the customer's Uquid Account.

Transactions in a currency other than that of your card will incur a foreign exchange (FX) fee.

Any or all of these fees/charges may be waived or reduced at our discretion.

Our fees/charges may change over time. Changes to these fees will be notified via the www.uquid.com website.

1. DEFINITIONS "Account" means the prepaid account relating to Your Card and/or Virtual Card established by Us in Your name.

"Card" means the Uquid Prepaid Card by Visa? issued to You under these Terms and Conditions.

"Account ID" means the unique identifier You use to access Your Uquid Account.

"Merchant" means a retailer or any other person or firm or company providing goods or services that accepts cards displaying the Visa? acceptance symbol in payment for such.

"Visa" means Visa International Incorporated or its successors or assigns.

"Uquid Account" means Your Uquid Account held by You with Uquid and provided to You by Uquid and subject to Uquid's terms and conditions of use for such.

"Uquid" means Wave Crest Holdings Limited, the issuer of the Uquid Card.

"Online Account System" means the system and software used to run Your Uquid Account located at www.uquid.com.

"PIN" means the personal identification number which We issue or approve to be used with Your Card.

"Terms and Conditions" means these terms and conditions together with the Fees Summary, any supplementary terms and conditions and amendments from time to time that We may notify You of in accordance with the terms of section 14.

"Transaction" means any cash withdrawal or purchase of goods or services (as appropriate) completed by You using Your Card or Your Virtual Card.

"Us" or "We" or "Our" means Wave Crest Holdings Limited (Gibraltar) and it's subsidiaries and associates.

"Virtual Card" means the Uquid Virtual Prepaid Card by Visa? issued to You under these Terms and Conditions.

"Wave Crest Group" means Wave Crest Holdings Limited, its subsidiaries and associated companies.

"Website" means www.uquid.com or the website address printed on the reverse of Your Card.

"You" or "Your" or "Cardholder" means the person entering into these Terms and Conditions with Us.

2. SCOPE OF THESE TERMS AND CONDITIONS
2.1.These Terms and Conditions govern Your use of Your Card and/or Your Virtual Card and the values held in Your Account. We may amend these Terms & Conditions from time to time. The up-to-date version of these Terms and Conditions will be posted on the Website, www.uquid.com. You should check the Website regularly so that You can see the latest version. You will be bound by these Terms and Conditions and any amendments to them. The Fees Summary forms part of these Terms and Conditions. We recommend that You print off a copy of these Terms and Conditions for Your records. 

2.2. You will be issued with a Card or Virtual Card and Account by Us. The Card, Virtual Card and Account will be used in conjunction with Your Uquid Account. The funds for all Transactions are held on Your Uquid Account and no interest will be paid on these. When You make a Transaction using Your Card or Virtual Card the value of the Transaction plus any associated fees (see Fees Summary) will be loaded from Your Uquid Account to Your Account and used to complete the Transaction. 

2.3. Your Card or Virtual Card is a prepaid card and the funds loaded onto Your Card or Virtual Card are called electronic money. Your Card or Virtual Card is not a credit card, charge card or a debit card. You can only spend to the value of the funds that You load onto it. All Cards and Virtual Cards are issued by Us pursuant to a licence by Visa International. 

2.4. These Terms and Conditions relate to Your use of the Card and/or Virtual Card and values held in Your Account. Your Uquid Account is managed by Uquid and the terms and conditions of use of Your Uquid Account are subject to separate terms and conditions between you and Uquid. 

2.5. There is no deposit guarantee scheme that applies to your emoney held in Your Card, Your Virtual Card or to Your Account. No other compensation schemes exist to cover losses claimed in connection with Your Card or Your Virtual Card. This means that in the event that We become insolvent Your funds may become valueless and unusable and as a result You may lose Your money that is held on your Card or Virtual Card.
 
 
3. APPLICATION AND ACTIVATION OF CARDS AND VIRTUAL CARDS
 
3.1.To apply for a Card or Virtual Card You must be at least 18 years old. We will also need to know some information about you. Before we can issue you a Card or Virtual Card We will need to verify who You are, that means We will check Your identity and where You live. We may use third parties to obtain this information, which may also contain credit checks, on Our behalf. 

3.2. We reserve the right to refuse to issue or activate a Card or Virtual Card. 

3.3. By applying for and using Your Card or Virtual Card You agree to be bound to these Terms and Conditions. You can activate the Card or Virtual Card on the Website, please refer to www.uquid.com or via IVR at the number posted on your Card. A fee may apply for activation, (see Fees Summary). If you have any problems activating Your Card or Virtual Card please contact Customer Services. 

3.4. If you apply for and receive a Card, you must sign it as soon as you receive it. 

3.5. By applying for and activating Your Card or Virtual Card You agree to abide by all local laws in relation to your use of Your Card or Virtual Card as relevant.
 
 
4. USE OF YOUR CARD OR VIRTUAL CARD
4.1. Once your Card or Virtual Card is activated, You can start using it at Merchants and ATMs (excluding Virtual Cards) and You may spend funds up to the value held in Your Uquid Account.

4.2. You can use Your Card or Virtual Card to purchase goods and services anywhere Visa? is accepted subject to there being sufficient funds in Your Uquid Card and subject to these Terms and Conditions. You can also withdraw cash at an ATM or financial institution displaying the VISA logo or name subject to the relevant terms and conditions of the relevant provider of the ATM or relevant financial institution and there being sufficient funds in Your Uquid Account and the Merchant or financial institution being able to verify this online. (excluding the Virtual Card) 

4.3. There are withdrawal limits for the use of Your Card or Virtual Card, please see the Website for details. 

4.4. ATM cash withdrawals are limited to a max of 500 Eur per day depending on your verification status (or approximate local country equivalent) or other lower limits that may be set by the relevant ATM or financial institution. An ATM withdrawal fee may apply (see Fees Summary for further details). You may be subject to any applicable fees, surcharges, rules and regulations of the relevant ATM or other financial institution. It is Your responsibility to check before proceeding with Your Transaction. 

4.5. You cannot load Your Uquid Account with Your Card or with Your Virtual Card. 

4.6. Your Virtual Card will not work at any cash disbursement machines (ATM). 

4.7. We reserve the right to decline any Transactions at Our discretion. We shall not be liable in the event that a Merchant refuses to accept Your Card or Virtual Card or if We do not authorise a Transaction, or if We cancel or suspend use of Your Card or Virtual Card. Unless otherwise required by law, We shall not be liable for any direct or indirect loss or damage You may suffer as a result of Your total or partial use or inability to use Your Card or Virtual Card, or the use of Your Card or Virtual Card by any third party. 

4.8. You must not spend more money than you have in Your Uquid Account or misuse Your Card or Virtual Card. We will take any such action seriously and take any steps necessary to enforce any actions against you. 

4.9. In certain sectors, Merchants such as car hire companies, hotels and other service providers, will estimate the sum of money You may spend or for which You require authorisation. The estimate may be for more than the amount you spend or are charged. This means that some of the funds on Your Account may be held for up to 45 days and accordingly, you will not be able to spend this sum during this period. We cannot release such sum without authorisation from the Merchant. 

4.10. Merchants may not be able to authorise a Transaction if they cannot obtain online authorisation from Us. Any refunds for goods or services purchased with Your Card or Your Virtual Card may only be returned as a credit to the Card or to the Virtual Card. You are not entitled to receive refunds in cash. 

4.11. If, for any reason, a Transaction is processed that is more than the funds in Your Account, You will be responsible for paying the outstanding amount. You agree to pay us the outstanding amount immediately on demand. We reserve the right to automatically debit such outstanding amount from any top-ups you subsequently make to Your Uquid Account. 

4.12. We may refuse to authorise a Transaction if We reasonably believe that You are not complying with these Terms and Conditions, or if We need to do so to keep within the rules of the payment scheme under which We issue Your Card or Virtual Card, or if We reasonably believe that We need to do so to comply with any law or requirement of any applicable regulatory body. 

4.13. We accept no responsibility for the goods or services purchased by you with Your Card or with Your Virtual Card. All such disputes must be addressed directly with the Merchant providing the relevant goods or services. Once you have used Your Card or Your Virtual Card to make a purchase, We cannot stop that Transaction. 

4.14. Transactions made using Your Card require the use of Your PIN. All Transactions made using Your PIN are deemed to be authorised by you. You will be responsible for all Transactions made using Your PIN. 

4.15. Transactions made using Your Virtual Card require the use of Your Account ID or CVV2 code. All Transactions made using Your Account ID or Cvv2 code are deemed to be authorised by you. You will be responsible for all Transactions made using Your Account ID or Cvv2 and Your Virtual Card. 

4.16. We do not recommend that you use Your Virtual Card if You require a physical card to complete the Transaction and You should confirm that Your Virtual Card can be used with the Merchant before You make the Transaction. If you do make such a Transaction it is Your responsibility to ensure that it can be completed. 

4.17. The Virtual Card is designed to enable highly secure Transactions online, consequently each transaction will require your Account ID or Cvv2 code. 

4.18. You may not use your Card or Virtual Card for any transaction which is illegal in your country of residence.
 
 
5. TRANSACTIONS MADE IN FOREIGN CURRENCIES
5.1. If You use Your Card or Your Virtual Card to purchase goods or services or withdraw cash in a currency other than the issue currency of Your Card or Your Virtual Card, then such a Transaction will be converted to the currency of Your Card or Your Virtual Card on the day We receive details of such a Transaction. We will use VISA authorised rates applicable for such a Transaction. A foreign exchange fee will also apply (see Fees Summary for further details).
 
 
6. CARD AND VIRTUAL CARD EXPIRY / DAMAGE / REFUNDS
6.1. Your Card or Virtual Card is valid for the period stated on it, unless its use is terminated earlier by Us in accordance with these Terms and Conditions. Transactions will not be authorised once Your Card or Your Virtual Card expires. 

6.2. We may renew Your Card or Your Virtual Card when it expires. If you ask, We may also replace a damaged Card. A Fee may apply (see Fees Summary). 

6.3. If a new Card or Virtual Card has not been issued to you all funds (if any) held in Your Account will revert to Your Uquid Account. 

6.4. If you receive a refund of goods and services on Your Card or Virtual Card, the refund will be paid to Your Uquid Account. Remember, Your Uquid Account may only be used in accordance with its terms and conditions of use as agreed between You and Uquid.
 
 
7. CARD AND VIRTUAL CARD CLOSURE ? YOUR REDEMPTION RIGHT
7.1. If You choose to close or surrender Your Card or Your Virtual Card then all funds relating to it will be returned to Your Uquid Account. You may liquidate your Uquid Account in accordance with the separate Terms of Use of this account.
 
 
8. KEEPING YOUR PIN & CARD OR Account ID & VIRTUAL CARD SAFE
8.1. You must keep Your Card safe. Your Card is personal to you and you must not give it to anyone else to use. You must not damage or bend Your Card. You must ensure that you keep Your Card in a safe place. You must take all reasonable precautions to prevent fraudulent use of Your Card and Your Virtual Card. 

8.2. You will receive a PIN for Your Card and you must keep Your PIN safe. This means that when You receive Your PIN You must memorise it. If You receive a notification slip with the PIN then You must destroy it. You must keep Your PIN secret at all times. You must not disclose Your PIN to anyone including friends, family or Merchant staff. You must not write Your PIN down anywhere. You must not use Your PIN if someone else can see You typing it in.

8.3. If you suspect that someone else knows Your PIN, change it as soon as possible. If you have forgotten Your PIN You must call Customer Services and they will arrange for a PIN reminder to be sent to You. 

8.4. You must keep Your Virtual Card safe. Your Virtual Card is protected by Your Account ID and Cvv2. You need to keep Your Account ID and Cvv2 safe and secure. Shut down fully all access to Your Virtual Card after use, in particular on shared machines. You will be liable for all funds spent using Your Virtual Card on Your UQuid Account as a result of improper use of Your Account ID or Cvv2.
 
 
9. CARDHOLDER LIABILITY
9.1. We will not be responsible for any loss, costs or expenses whatsoever that You may suffer or incur if something that We are not reasonably able to control, including but not limited to defects relating to Your Card or to Your Virtual Card, stops or delays Us from doing something We are supposed to do under these Terms and Conditions. 

9.2. If You are affected by an incident which is Our fault, We will only be responsible for the direct financial loss You suffer as a direct result up to a maximum of the balance on Your Card or Your Virtual Card (as relevant) at the time the incident occurred. 

9.3. If You have acted fraudulently, You will be liable for all losses on Your Uquid Account. If you act without reasonable care including by revealing Your PIN number, Account ID or Cvv2 and this causes losses, You may be liable for them. Keep Your PIN safe and ensure that you log-off after all usage. 

9.4. Provided You have complied fully with these Terms and Conditions, not acted fraudulently or without reasonable care, You will not be liable for any Transactions or fees incurred on Your Account if Your Card is used before activation. In the event that You do not use Your Card or Your Virtual Card in accordance with these Terms and Conditions or We find that You are using Your Card or Your Virtual Card fraudulently, We reserve the right to charge You for any reasonable costs that We incur in taking action to stop Your Card or Your Virtual Card being used and to recover any monies owed as a result. 

9.5. We accept no responsibility or liability for a Merchant or third party refusing to honour a Transaction on Your Card or Your Virtual Card or for failing to cancel an authorisation. 

9.6. Your Card or Your Virtual Card will only work when the Online Account System is working and from time to time Your ability to use Your Card or Your Virtual Card may be interrupted, for example, when We carry out maintenance. If this happens, You may be unable (a) to use Your Card or Your Virtual Card to pay for Transactions or (b) to obtain information about the funds available in Your Online Account and/or about Your recent Card or Virtual Card Transactions. We will keep these periods down to as short a period as possible. Please notify Customer Services if You have any problems using Your Card or using Your Virtual Card. 

9.7. If We know, or suspect or wish to prevent misuse of Your Card or Your Virtual Card We may, without notice, refuse to approve a Transaction, cancel or suspend Your right to use Your Card or Your Virtual Card for any purpose or refuse to replace any Card or Virtual Card. We will not be responsible for or incur any liability for any loss or damage that You may suffer as a result.
 
 
10. LOST, STOLEN OR DAMAGED CARDS AND VIRTUAL CARDS
10.1. You should treat the value on Your Card or Your Virtual Card like cash in a wallet. If Your Card or Your Virtual Card is lost or stolen, You may lose some or all of the value on Your Uquid Account in the same way as if You lost cash. 

10.2. If Your Card is lost or stolen or you suspect there may be unauthorised use of Your Card or Virtual Card, or if Your Card or Your Virtual Card is damaged or malfunctions, You must immediately contact Customer Services. If We ask, You must also write to Us within seven days to confirm the loss, theft or possible misuse. You will be asked to provide Us with Your Card number or Your Virtual Card number and other information so that We can identify You. You will be responsible for any unauthorised Transactions that take place prior to you notifying Customer Services. 

10.3. Your Account ID or Cvv2 is used to access Your Virtual Card. If you suspect that Your Account ID, Cvv2 or Your Virtual Card has been compromised you must contact Customer Services. 

10.4. You may be required to help Us, Our agents or any enforcement agency, at Our request, if Your Card or Your Virtual Card is lost or stolen or if We suspect Your Card or Your Virtual Card is being misused. 

10.5. If Your Card is reported lost or stolen We will cancel it and may issue a new one. A fee may apply (See Fees Summary). 

10.6. If You find Your Card after You have reported it lost, stolen or misused, You must cut it up and return it to Us.
 
 
11. FEES
11.1. Your use of Your Card or of Your Virtual Card is subject to the fees and charges set out in the Fees Summary. These fees and charges form an integral part of these Terms and Conditions.
 
 
12. STATEMENTS AND UNAUTHORISED TRANSACTIONS
 
12.1. You can view Your Uquid Account balance and Transactions on the Website but to do so You will need to use Your valid Account ID and Password. You are responsible for keeping Your Account ID and Password secret. If You believe someone else is using Your Log-on ID, Password or may know it You must contact Customer Services immediately. 

12.2. If you believe that any Transaction posted to Your Card or to Your Virtual Card is unauthorised, has been posted in error or is otherwise incorrect, You must let Us know immediately by contacting Customer Services. We may require You to provide details of Your complaint in writing. 

12.3. We will acknowledge your complaint within 24 hours of receipt. If you do not tell Us within 60 days after a Transaction was made You may not be entitled to a refund. No refund will be made until our investigation is complete. We reserve the right not to refund sums to You if We believe that You have not acted in accordance with these Terms and Conditions.
 
 
13. CHANGES TO THESE TERMS AND CONDITIONS
13.1. We may change these Terms and Conditions from time to time. All changes to these Terms and Conditions will be posted on the Website and you agree to be bound by the current version of these Terms and Conditions as displayed on the Website. If you are significantly disadvantaged by any such change you may cancel Your Card or Your Virtual Card in accordance with Our cancellation policy (see section 14). In such circumstances you will not be charged a cancellation fee and you will not be subject to the relevant change during the period between the relevant change being made by Us and Your cancellation of Your Card or Virtual Card.
 
 
14. CANCELLATION, TERMINATION AND SUSPENSION
14.1. You may cancel Your Card or Your Virtual Card if you have not activated it, or within 14 days from the date of activation, without penalty. You may cancel Your Card or Your Virtual Card at any time after the 14 day period however a cancellation fee will apply (see Fees Summary). To cancel Your Card or Your Virtual Card You must notify Customer Services and return all Card(s) issued, cut in half. You will be responsible for any Transaction you have made or charges incurred before you cancelled Your Card or Your Virtual Card. Once We have been notified by You and, if applicable, received Your Card(s) We will wait 45 days for all Transactions to be processed and then refund the remaining balance of money to Your UQuid Account. 

14.2. We can terminate these Terms and Conditions with you if we give You 30 days' notice and refund any remaining funds to Your Uquid 

14.3. We can suspend or terminate these Terms and Conditions with You and Your use of Your Card or Virtual Card immediately if You have not complied with these Terms and Conditions, or if We have reason to believe that You have used or intend to use the Card or Your Virtual Card in a negligent manner or for fraudulent or other unlawful purposes or if We can no longer process Your Transactions for any legal or security reason or due to actions of any third party. 

14.4. We can suspend Your Card or Your Virtual Card at any time with immediate effect if (a) We discover that any information You have provided is incorrect or incomplete; or (b) if a Transaction has been declined because of lack of available value in Your Uquid

14.5. If any Transaction, fee or charge is found to have been incurred on Your Card or on Your Virtual Card following cancellation or termination, you agree to pay all such sums to Us immediately on demand. 

14.6. Cancellation by Us of Your Card or Your Virtual Card or termination by Us of these Terms and Conditions does not affect Your Uquid Account. Your Uquid Account is managed by Uquid and is subject to the terms and conditions relating to Your Uquid Account as agreed between you and Uquid.
 
 
15.PERSONAL DATA
15.1. We may collect and retain information about you so that We can operate Your Card or Your Virtual Card and deal with any inquiries that You may have about it. 

15.2. We are committed to maintaining your personal data in accordance with legal requirements relating to the collection, storage and use of personal data under the terms of the Data Protection Act 2002. We will not pass information We hold about You to any third party other than where:
We are legally required to disclose;
We have a public duty to disclose;
Our interests require disclosure;
The disclosure is made with Your consent;
As set out in this section 15 and in Our Privacy Policy.
15.3. We may use the services of third parties to provide services on Our behalf which may include the processing of information about You. 

15.4. We may share information about You with credit reference agencies to verify Your identity and suitability for a Card or Virtual Card. 

15.5. We may share information about You to prevent crime, prevent money laundering, for anti-terrorism purposes, to verify Your identity, to recover debt and to meet out legal obligations. We may share information about You both within the Isle of Man, United Kingdom and overseas with other members of the Wave Crest Holdings Limited group and Uquid. 

15.6. We may contact You to advise You of other products services provided by Us, if You do not want Us to contact You about such products and services please let Us know. 

15.7. If We suspect that We have been given false or inaccurate information, We may record and report suspicion together with any other relevant information. 

15.8. If false or inaccurate information is provided and fraud is identified, details will be passed to fraud prevention agencies to prevent fraud and money laundering and financing of terrorism. 

15.9. We may check all personal information given by You with fraud prevention agencies and other organisations, and We may seek information about You from credit reference agencies to verify Your identity. A record of such enquiries will be kept. 

15.10. You have a right to inspect the personal data We hold about You however We will ask You to pay a fee of ?10.00 or currency equivalent to cover Our administration costs. For further information please contact Customer Services.
 
 
16. COMPLAINTS PROCEDURE
16.1. If You are not satisfied with the way Your Card is being run You should provide written details of Your concerns to Customer Services. All queries will be handled in accordance with Our complaints procedure. The Customer Services will provide a copy of the complaint procedure upon request. You can also access the complaints procedure on the website.

IF YOU HAVE NOT RECEIVED A SATISFACTORY RESPONSE WITHIN TWELVE (12) WEEKS FROM THE DATE OF YOUR COMPLAINT YOU MAY REFER YOUR COMPLAINT TO THE FINANCIAL SERVICES COMMISSION OF GIBRALTAR at www.fsc.gi
 
 
17. WHO IS RUNNING MY CARD
17.1. Your Card is issued by Wave Crest Holdings Limited (registered number 101302), Suite 2-1C 57/63 Line Wall Road Business Centre, 23 Ocean Village Promenade, Ocean Village, Gibraltar, which is regulated by the Financial Services Commission of Gibraltar.

Your Card is the property of Wave Crest Holdings Limited and is not transferable to anyone else.
 
 
18. GENERAL
18.1. In these Terms and Conditions, headings are for convenience only and shall not affect interpretation and references to the singular shall include references to the plural and vice versa. Any delay or failure to exercise any right or remedy under these terms and conditions by Us shall not be construed as a waiver of that right or remedy or stop Us from exercising Our rights at any subsequent time.

18.2. You may not novate, assign or transfer any rights and/or benefits under these Terms and Conditions. We may assign, transfer or novate Our rights and benefits and obligations at any time without prior written notice to You. We may subcontract any of Our obligations under these Terms and Conditions. 

18.3. In the event that any part of these Terms and Conditions are held not to be enforceable, this shall not affect the remainder of these Terms and Conditions which shall remain in full force and effect. 

18.4. You will remain responsible for complying with these Terms and Conditions until all Cards and/or Virtual Cards issued to Your Account are cancelled (in accordance with these Terms and Conditions) or have expired and all sums due under these terms and conditions have been paid in full.

18.5. These terms and conditions are written and available only in English and all correspondence with You in respect of Your Account shall be in English In the event that these Terms and Conditions are translated, the version in English shall take priority.

18.6. These terms and conditions are governed by the laws of Gibraltar and you agree to the exclusive jurisdiction of the courts of Gibraltar.
